Public offer to make a charitable donation

1. Terms

1.1. This public offer regarding the provision of a charitable donation (hereinafter referred to as the "Offer") is an offer of the Charitable Organization "BF "Moor-Moor", legal entity identification code 44810871, located at the address: Kyiv, Ukraine, 2068, 9 Revutskogo str., sq.55, (hereinafter - the "Charitable Fund"), in the person of the Executive Director of Vronska Maria Maksimivna, an unspecified circle of legally capable individuals and legal entities under private law who voluntarily carry out charitable activities (hereinafter each of such persons - the "Benefactor"), to enter into an agreement regarding the provision of a charitable donation (hereinafter referred to as the "Agreement") on the terms described in this Offer with each Benefactor who applies.This public offer regarding the provision of a charitable donation (hereinafter referred to as the "Offer") is an offer of the Charitable Organization "BF "Moor-Moor", legal entity identification code 44810871, located at the address: Kyiv, Ukraine, 2068, 9 Revutskogo str., sq. 55, (hereinafter - the "Charitable Fund"), in the person of the Executive Director of Vronska Maria Maksimivna, an unspecified circle of legally capable individuals and legal entities under private law who voluntarily carry out charitable activities (hereinafter each of such persons - the "Benefactor"), to enter into an agreement regarding the provision of a charitable donation (hereinafter referred to as the "Agreement") on the terms described in this Offer with each Benefactor who applies.

1.2. This Offer is an offer to conclude a contract in accordance with Art. 641 of the Civil Code of Ukraine.

1.3. This Offer comes into effect from the moment it is posted on the website of the Shelter on the Internet at the link: https://murmur.foundation (hereinafter - the "Site"). This Offer is open-ended and may be changed or withdrawn by the Foundation at any time (prior to its acceptance by the Benefactor) by posting relevant information on the Site.

1.4. The Charitable Foundation may enter into agreements regarding the provision of a charitable donation in a different manner and/or under different conditions than those provided for in this Offer. The benefactor can separately apply to the Charitable Fund to conclude such an agreement.

2. Subject of the contract

2.1. In accordance with this Agreement, the Benefactor transfers, free of charge and irrevocably, money to the Organization as a voluntary charitable donation to ensure the statutory activities of the Charitable Fund, and the Charitable Fund accepts such a charitable donation and undertakes to use it for carrying out its own charitable activities in accordance with the Statute and legislation of Ukraine.

2.2. The Benefactor's transfer of funds under this Agreement is recognized as a charitable donation in accordance with Art. 6 of the Law of Ukraine "On Charitable Activities and Charitable Organizations".

2.3. The benefactor independently determines the amount of the charitable donation. The benefactor has the right to ask and receive information about the nature and size of the necessary charitable assistance for the specific purposes of the Charity Fund's activities, as well as according to the charity programs of the Charity Fund, in order to determine the directions for the use of the charitable donation before it is given.

2.4. The conclusion and performance of this Agreement is not intended and does not provide for the profit of any of the parties.

3. Activities of the charity fund

3.1. Charitable Organization "BF "Moor-Moor" (hereinafter - CHARITY FOUNDATION) is a charitable society, created on the basis of voluntariness, humanity, transparency, common interests and equality of rights of its members, designed to carry out measures to promote the protection, socialization and adoption of animals , which is the satisfaction and protection of legitimate social, environmental, economic, professional, educational interests of members of the CHARITABLE FUND.

3.2. The activities of the Charitable Fund are not aimed at making a profit.

3.3. The Charter of the Charitable Foundation, information about its work and reports on the results of its activities are posted on the Site.

4. Making a donation and accepting a donation

4.1. The Benefactor independently determines the size of the charitable donation and makes it by (i) making a money transfer using the payment forms and means posted on the Site, or (i) transferring funds to the Charitable Fund’s current account through bank institutions, or (i) transferring it to the Charitable Fund cash. Charitable donations are perpetual, and the term of their use by the Charitable Fund is not limited.

4.2. In accordance with this Offer and Agreement, charitable donations are provided by Benefactors and used by the Charitable Foundation to carry out and ensure charitable activities (implementation of directions, goals of charitable activities and charitable programs) of the Shelter in accordance with the Statute and legislation of Ukraine. The benefactor agrees with such purpose of his donation.

4.3. The benefactor also has the right to determine the specific purpose of his donation within the scope of the goals and activities and charitable programs of the Charitable Fund by concluding a separate agreement with the Shelter regarding the provision of a charitable donation, in accordance with clauses 1.4 and 2.3 of this Offer. If the Benefactor did not specify its specific purpose when making the donation, the Charitable Fund has the right to use the charitable contribution for the needs of the Charitable Fund.

4.4. Charitable donations are used by the Charitable Fund in the order of receipt.

4.5. When making a donation, in order to correctly identify the payer, the Benefactor indicates his contact information: first and last name, name of the legal entity, e-mail address and/or phone number, other data that allow identification of the Benefactor.

4.6. Acceptance of the Offer is considered to be its complete and unconditional acceptance by the Benefactor taking actions to transfer the funds of the charitable donation to the Charitable Fund in one of the ways specified in clause 4.1 above. The offer is considered accepted and the Agreement concluded from the date of crediting the funds to the current account of the Charitable Fund or their posting in the cash register of the Charitable Fund.

4.7. Within 2 hours after the funds are credited to the Fund's current account or posted in the Charity Fund's cash register, the Benefactor may contact the Charity Fund regarding the issue of returning the donation funds due to their erroneous transfer or other reasons. After the expiration of this period, the charitable donation is considered irrevocable and is not returned by the Charity Fund, except when such return is required by the legislation of Ukraine or otherwise provided for in this Offer. If the donation was deposited into the Charitable Foundation account without identification of the payer and the Charitable Foundation cannot identify the Benefactor of the donation, such donation will not be returned by the Charitable Foundation.

4.8. By accepting the Offer, the Benefactor confirms that he agrees with all the terms of the Offer, is fully aware of and agrees with the subject matter and terms of the Agreement.

4.9. Expenses related to making charitable donations (commissions for transferring funds, taxes, fees, etc.) are borne by the Benefactor, if such expenses are charged to the Benefactor, and by the Charitable Foundation, if such expenses are charged to the Charitable Fund. The Benefactor understands and agrees that part of his charitable donation may be used by the Charitable Foundation to cover the costs associated with making charitable donations, if such costs are charged by third parties by default and cannot be avoided (for example, fees of payment systems for acquiring, bank fees , etc.).

4.10 In case of non-implementation of the project or in case of residuals, the Benefactor gives his consent to the fact that the amount of the donation is not subject to return and is used by the Charitable Fund in strict accordance with the legislation of Ukraine and only within the framework of its statutory activities.

5. Rights and obligations of the Parties

5.1. The Charitable Foundation undertakes to use the funds of the Benefactor's charitable donation in strict accordance with the legislation of Ukraine and only within the framework of its statutory activities.

5.2. The Charitable Fund has the right to independently determine the directions of use of the charitable donation in accordance with its statutory activities and the legislation of Ukraine, except for cases when the Benefactor has determined the specific purpose of his donation under a separate agreement with the Charitable Fund. Thus, if the Benefactor does not specify the specific purpose of the charitable donation, it is considered that the donation was made for the Charitable Fund to carry out statutory activities.

5.3. The Benefactor agrees that in accordance with the Law of Ukraine "On Charitable Activities and Charitable Organizations", the Charitable Fund may use part of the funds received from the Benefactors to finance its administrative costs. The size of expenses for maintenance of administrative expenses cannot exceed 20% of its budget in the current year.

5.4. The benefactor has the right to receive information about the use of his charitable donation. For this purpose, the Charitable Fund posts monthly financial reports on the Site, which include information on (i) the amounts of donations received by the Charitable Fund during the reporting period, and (i) the expenses of the Charitable Fund during the reporting period. At the Benefactor's request, the shelter can also confirm the intended use of the charitable donation with additional documents.

5.5. By making a charitable donation, the Benefactor unconditionally affirms (i) his legal capacity, (i) the voluntariness of entering into the deed, (i) that the subject of the charitable donation

donation is not subject to a ban, seizure, is not in lien, is not encumbered by any other rights of third parties and was not acquired in violation of the provisions of Law of Ukraine No. 361-IX "On prevention and countermeasures against legalization (laundering) of proceeds obtained through criminal means, financing terrorism and financing the proliferation of weapons of mass destruction."

If the Charitable Foundation has reasonable doubts about these statements, the Charitable Foundation has the right to request, and the Benefactor undertakes to provide, appropriate supporting evidence of these statements.

6. Final provisions

6.1. By accepting the Offer, the Benefactor gives the Charitable Foundation consent to the processing of their personal data, which are disclosed by the Benefactor when making a charitable donation, in order to fulfill the terms of the Agreement. Such personal data may include: name, surname and patronymic, address, place of residence, e-mail address, telephone number and (when transferring funds to the Charitable Fund's current account through bank institutions) bank details. Permitted types of personal data processing include their collection, registration, accumulation, storage, adaptation, change, renewal, use and dissemination (distribution, implementation, transfer), depersonalization and destruction. The Charitable Foundation undertakes not to disclose the Benefactor's personal data to third parties without the Benefactor's permission, except in cases where such disclosure is required by state authorities or otherwise required in accordance with the legislation of Ukraine. The benefactor confirms that he has been notified of the rights established by the Law of Ukraine "On the Protection of Personal Data". The Benefactor's rights as a subject of personal data in accordance with the Law of Ukraine "On the Protection of Personal Data" are known and understood by him.

6.2. The Benefactor agrees that his contact information may be used by the Charitable Foundation to send letters and messages, including electronic ones, to the Benefactor. At the same time, the Charitable Foundation undertakes not to provide information about the Benefactor's contact details to third parties, except in cases expressly provided for by the legislation of Ukraine.

6.3. In the event of disputes between the parties to this Agreement, they must be resolved through negotiations. If a negotiated solution is impossible, disputes are considered by courts in the manner established by law.
